释义 | 中国欧盟协会(中欧协会),经国务院批准,于2001年11月11日宣布成立。全国人大常委会副委员长何鲁丽任该会名誉会长,全国友协会长陈昊苏任会长。会址设在中国人民对外友好协会。中欧协会的宗旨是促进中国与欧盟及其成员国之间关系的发展、扩大国际交流与合作、维护世界和平。中国欧盟协会作为一个独立社团法人,在全国对外友协的指导下,开展对欧盟国家的民间外交,包括结交对方民间友好团体、地方友好组织以及各界友好人士,推动民间经贸合作,开展民间文化交流,帮助建立友好城市及地方政府之间的联系。 中国欧盟协会章程第一章 总则第一条 名称 本会名称是中国欧盟协会(China-EU Association),简称中欧协会(CEUA)。 第二条 性质 本会是由与欧盟及其成员国有关系的企事业单位、社会团体和个人组成的全国性的、非营利性社会组织。 第三条 宗旨 本会以促进中国与欧盟及其成员国之间关系的发展、扩大国际交流与合作、维护世界和平为宗旨,遵守中华人民共和国的宪法、法律、法规和国家政策,遵守社会道德风尚。 第四条 体制 本会采取团体会员与个人会员相结合的体制,接受全国对外友协和民政部的业务指导和监督管理。 第五条 会址 本会会址设在北京台基厂一号。 第二章 业务范围第六条 本会的业务范围 在中国与欧盟及其成员国之间开展民间交流与合作,具体包括: 推动人员往来与信息交流; 研究欧盟及其成员国的发展状况,并向欧盟及其成员国介绍中国的发展状况; 推动双方经济合作与文化交流; 推动双方在科技、教育、环保等专业领域的合作; 增进双方人民之间的理解、信任和友谊; 建立二十一世纪双方的良好关系以实现共同发展。 第三章 会员第七条 会员分类 本会会员分为:团体会员和个人会员(其中均包括赞助会员和荣誉会员)。 第八条 会员必须具备下列条件 拥护本协会的章程并有加入本协会的意愿。 团体会员应是与欧盟及其成员国有关系的企事业单位和社会团体。 个人会员应是对欧盟及其成员国进行研究和开展合作业务的中国各界人士。 赞助会员是指愿意为本协会提供经济支持的团体和个人。 荣誉会员是指特邀的为促进中欧关系做出突出贡献的团体和个人。 第九条 会员的入会程序 参加本会成立大会的团体和个人为本会创始会员,不须另行办理入会手续。其他会员均须办理入会手续,由两名会员介绍,提交入会申请书并经理事会认可。 第十条 会员享有下列权利 本会的选举权、被选举权和表决权;参加本会的活动;对本会工作发表意见、建议和批评并进行监督;优先接受本会提供的服务;入会自愿、退会自由。 第十一条 会员履行下列义务 遵守本会章程,执行本会决议,维护本会合法权益,完成本会交办的工作,按规定缴纳会费,向本会反映情况并提供有关资料。 第十二条 会员的退出 会员退会应书面通知本会。会员如果1年不缴纳会费或不参加本会活动,视为自动退会。 第十三条 会员的除名 会员如有严重违反本章程的行为,经理事会或常务理事会表决通过,予以除名。 第四章 组织机构第十四条 权力机构 本会最高权力机构是会员大会,会员大会的职权是:制定和修改章程;选举和罢免理事;审议理事会的工作报告和财务报告;决定终止、更名等重大事宜。 会员大会须有三分之二以上的会员出席方能召开,其决议须经到会会员半数以上表决通过方能生效。会员大会每5年举行一次。因特殊情况需提前或延期举行的,须由理事会表决通过,报业务主管单位审查并经社团登记管理机关批准同意。但延期的时间不得超过1年。 理事会由会员大会选举产生。原则上每个团体会员均应有代表参加理事会;个人会员则按界别和地域分配理事候选人名额。理事任期5年,可连任,一般不超过2届。 第十五条 理事会的职权 理事会是会员大会的执行机构,在闭会期间领导本会开展日常工作,对会员大会负责。理事会每年举行一次全体会议,必要时也可由常务理事会随时召集会议,情况特殊的,也可采用通讯形式召开。 理事会的职权是:执行会员大会的决议;聘请和解聘名誉会长;选举和罢免会长、常务副会长、副会长和秘书长;筹备召开会员大会;向会员大会报告工作和财务状况;决定会员的吸收和除名;决定设立办事机构、分支机构、代表机构和实体机构;决定副秘书长、各机构主要负责人的聘任;领导本团体各机构开展工作;制定内部管理制度;决定其他重大事项。 第十六条 理事会的表决 理事会须有三分之二以上理事出席方能召开,其决议须经到会理事三分之二以上表决通过方能生效。 第十七条 常务理事会 本团体设立常务理事会,由理事会选举产生,在理事会闭会期间行使理事会的职权,对理事会负责。 常务理事会须有三分之二以上常务理事出席方能召开,其决议须经到会常务理事三分之二以上表决通过方能生效。情况特殊的,也可采用通讯形式召开。 第十八条 法定代表人 本协会会长为本团体法定代表人。如因特殊情况,会长不能担任法定代表人时,副会长或秘书长可担任,但须经常务理事会认可,报全国对外友协审查并经民政部批准同意。会长、副会长、秘书长任期5年,可连任,一般不超过2届。 第十九条 会长的职权 召集和主持理事会与常务理事会,检查会员大会、理事会与常务理事会决议的落实情况,代表本会签署有关重要文件。 第二十条 常务副会长和副会长的职权 协助会长行使职权。 第二十一条 秘书长的职权 主持办事机构开展日常工作,组织实施年度工作计划,协调各分支机构、代表机构和实体机构开展工作,提名副秘书长以及各办事机构、分支机构、代表机构和实体机构主要负责人,交理事会或常务理事会决定,决定办事机构、代表机构、实体机构专职工作人员的聘用。 第五章 资产管理和使用原则第二十二条 经费 本会经费来源包括:对外友协拨出的工作经费、会员的会费、政府资助、捐赠、赞助、在核准的业务范围内开展活动或服务的收入、利息以及其它合法收入。 第二十三条 资产管理和使用原则 本会的资产管理和使用依照中国人民共和国的有关法律、法规和财务管理制度进行,接受全国对外友协、民政部和审计机关的监督。 第六章 终止程序及终止后的财产处理第二十四条 终止程序 本会完成宗旨或自行解散或由于分立、合并等原因需要注销时,由理事会或常务理事会提出终止动议,须经会员大会表决通过,报全国对外友协审查同意。在终止前,须在全国对外友协指导下成立清算组织,清理债权债务,处理善后事宜。清算期间,不开展清算以外的活动。本会经民政部办理注销登记手续后即为终止。 第二十五条 终止后的财产处理 本会终止后的剩余财产,在全国对外友协和民政部的监督下,按照国家有关规定,用于发展与本会宗旨相关的事业。 第七章 附则第二十六条 章程生效 本章程经民政部核准之日起生效。 第二十七条 章程的解释权 本章程的解释权属本会理事会。 第二十八条 章程的修改程序 对本会章程的修改,须经会员大会表决通过后,并报民政部核准后生效。 The Statute of China- EU Association ChapterⅠ General Principles Article 1 Name The Association is named China-EU Association, which is abbreviated to CEUA. Article 2 Nature The Association is a national non-profit corporation which is co-sponsored by enterprises, institutions, public organizations and personages that have a certain relationship with the EU and its member countries. Article 3 Purposes The Association aims to develop relations between China and the EU and its member countries, expand international exchange and cooperation and safeguard world peace. It abides by the constitution, laws, regulations and policies of the People’s Republic of China and the social ethics. Article 4 System The Association shall adopt a system of absorbing both group and individual members and shall accept the professional guidance, supervision and management by the Chinese People’s Association for Friendship with Foreign Countries and the Civil Affairs Ministry. Article 5 Seat of the Association The seat of the Association is at No. 1, Tai Ji Chang Street, Beijing 100740, China. ChapterⅡ Scopes of Work Article 6 Scope of Work of the Association The Association is dedicated to developing people-to-people exchange and cooperation between China and the EU and its member countries. Its scope of work is as follows: 1. To promote the exchange of personnel and information between the two sides; 2. To make research on the development of the EU and its member countries and introduce to them the development of China; 3. To promote economic cooperation and cultural exchange between the two sides; 4. To promote cooperation in professional fields including science, technology, education, environmental protection, etc.; 5. To enhance understanding, trust and friendship between the people of the two sides; 6. To build good relations in the 21st century between the two sides to achieve common development. Chapter Ⅲ Membership Article 7 Composition of the Membership The membership of the Association shall consist of group members and individual members (including sponsor members and honorary members) Article 8 Qualifications for Membership Applicants for membership must endorse the Association’s statute and have the desire to join the Association. A group member shall be a Chinese organization or institution that has a certain relationship with the EU and its member countries. Individual members shall be persons from various circles of the Chinese society who make research on the EU and its member countries or engage in cooperative activities with them. A sponsor member refers to a group or an individual that is willing to provide financial assistance to the Association. An honorary member refers to a group or an individual that is specially invited by the Association for their outstanding contributions to the promotion of relations between China and Europe. Article 9 The Affiliation of Membership The groups and individuals attending the inaugural meeting of the Association shall be its founding members and shall not have to go through other affiliation procedures, while other persons or organizations desiring to join the Association shall have the recommendation of two Association members, make an application form, and be subject to the approval of the council. Article 10 Rights of the Members The members shall have the rights To elect or be elected and vote in the Association, To take part in the activities of the Association, To give advice, suggestions and criticism on and supervise the work of the Association, To have the priority in receiving the service provided by the Association, and To have the freedom to join and withdraw from the Association. Article 11 Duties of the Members The duties of the members shall be To abide by the statute of the Association, To carry out the resolutions of the Association, To safeguard the legal rights and interests of the Association, To complete the work assigned by the Association, To pay membership dues as stipulated, and To report to the Association and provide relevant information. Article 12 Resignation of the Members Any member may, by giving a written notice, withdraw from membership. And any member shall be regarded as voluntary resignation from membership if failing to pay membership dues or to participate in the activities of the Association for one year. Article 13 Termination of Membership Any member who commits serious violation against the statute shall be expelled from the Association by vote of the council or the executive council. Chapter Ⅳ Organizational Structure Article 14 The Organ of Authority The highest organ of authority of the Association is the congress which shall have the power to draw up and revise the statute of the Association, elect or dismiss council members, review the work report and financial report of the council, and decide on major issues such as the dissolution and renaming of the Association. The congress shall be convened with an attendance of at least two-thirds of the members, and its resolutions shall take effect by a vote of at least half of the members present at the congress. The congress shall be convened every five years. The convening in advance or postponement of the congress for special reasons must be approved of by a vote of the council, and reported to the competent professional department for examination and with the approval of the public organizations registration management office. The postponement of the congress shall not exceed one year. The council shall be elected by the congress. In principle, every group member shall have one representative as a member of the council. Candidates from individual members for election to the council shall be allocated on the basis of profession and geographical location. The tenure of the council member shall be five years, and the reelection of the same candidate shall not exceed two times in general. Article 15 Functions and Powers of the Council The council is the executive organ of the congress, which leads the day-to-day work of the Association when the congress is not in session and is responsible to the congress. The council shall convene a plenary session every year, and the executive council may also concave the session whenever necessary. Under extraordinary circumstances, the session may also be held in the form of correspondence. The council shall have the power To carry out the resolutions of the congress, To invite or dismiss the honorary president of the Association, To elect or dismiss the president, the executive vice-president, the vice-presidents and the secretary-general of the Association, To prepare for the convening of the congress, To report to the congress on its work and the financial situation, To approve of the affiliation or termination of membership of the Association, To decide on the setting up of the working bodies, branch organizations, representative organs and entity organs, To approve of the appointment of the deputy secretaries-general and the chief officers of the various organs, To lead the various organs in carrying out their work, To formulate systems for internal management, and To decide on other major issues. Article 16 Vote of the Council Council meetings shall be held with an attendance of at least two-thirds of the council members. And its resolutions shall be adopted and take effect by a vote of at least two-thirds of the council members present at the meeting. Article 17 The Executive Council The association shall set up the executive council which shall be elected by the council, and have the functions and powers of the council when the council is not in session and be responsible to the council. Executive council meetings shall be held with an attendance of at least two-thirds of the executive council members. Its resolutions shall be adopted and take effect by a vote of at least two-thirds of the executive council members present at the meeting. Under extraordinary circumstances, meetings may also be held in the form of correspondence. Article 18 legal Representative The president of this association shall be the legal representative. In case the president cannot fulfil his duties under extraordinary circumstances, the vice-president or the secretary-general may act as the legal representative after the executive council submits its approval to the CPAFFC for examination and to the Civil Affairs Ministry for approval. The president, the vice-president and the secretary-general are elected for a term of five years, and may be reelected for the second term, but generally not exceed 2 terms. Article 19 Duties of the President The president shall convoke and preside over council meetings and executive council meetings, examine the implementation of the resolutions adopted by the congress and the executive council and sign the relevant important documents on behalf of the Association. Article 20 Duties of the Executive Vice-President and the Vice-President The executive vice-president and the vice-president shall assist the president in fulfilling his duties. Article 21 Duties of the Secretary-General The secretary-general shall be in charge of Leading the working bodies in their daily work, Organizing the implementation of the annual work plan, Coordinating the work of branch organizations, representative organs and entity organs, Nominating deputy secretaries-general and the chief officers of the working bodies, branch organizations, representative organs and entity organs for decision by the council or the executive council, Deciding the employment of the staff of the working bodies, representative organs and entity organs. ChapterⅤ Use and Management of Assets Article 22 Funds The sources of the Association’s funds include the funds from the CPAFFC, the membership fees, financial aid from the government, donations, sponsors’ assistance, income and interest from activities and services within its approved business scope and other legal income. Article 23 Principles for Use and Management of Assets The assets of the Association shall be used and managed in accordance with the relevant laws, regulations and financial management rules of the People’s Republic of China and supervised by the CPAFFC, the Civil Affairs Ministry and the auditing organizations. Chapter Ⅵ Termination Procedure and Handling of Property after Termination Article 24 Termination Procedure In case of nullification of this Association arising from the realization of its purposes or its voluntary dissolution, division or merger, the council or the executive council shall put forward a motion for the vote by the congress and the result shall be reported to the CPAFFC for examination and approval. Prior to the nullification, a liquidation group shall be established under the guidance of the CPAFFC to deal with the creditor’s rights and debts and other matters concerned. During the liquidation period, no other activities than those related with liquidation shall be carried out. The Association shall be terminated upon the completion of the nullification procedure at the Civil Affairs Ministry. Article 25 Handling of Property after Termination The property left over after termination of the Association shall be used for the causes related with the purposes of the Association under the supervision of the CPAFFC and in accordance with the relevant rules of the state. Chapter Ⅶ Supplementary Provisions Article 26 Validity of the Statute This statute shall take effect upon the approval of the Civil Affairs Ministry. Article 27 Interpretation of the Statute The right of interpretation of the statute shall reside in the council.
